Subscription and Commission Agreement for Sellers

Effective Date: 1.08.2024.

This Subscription and Commission Agreement ("Agreement") governs the terms of the business relationship between BMH ("Platform Owner," "we," or "us") and the Seller regarding subscription fees and commission charges.

1. Scope of Agreement

This Agreement defines the terms under which [Your Company Name] will charge Sellers for using the Platform, including two types of subscription fees and a commission fee per item sold.

2. Subscription Fees

  • Types of Subscriptions: Sellers can choose between  "Standard and Professional" subscription plans, each with distinct benefits and features.
  • Fee Structure: Subscription fees are charged as follows:
    • Standard Subscription: Charged per year
    • Professional Subscription: Charged per year
  • Renewal and Cancellation: Subscription fees will renew automatically, but Sellers can cancel by [insert process] at least [insert notice period, e.g., "30 days"] prior to the renewal date. Subscription fees are non-refundable unless otherwise specified.

3. Commission Fee

  • Commission on Sales: We will charge an agreed commission rate of on each item sold through the Platform.
  • Deduction Process: Commission fees will be automatically deducted from the Seller’s balance upon completion of a sale.
  • Changes to Rates: The Platform reserves the right to change commission rates with at least 30 days notice to the Seller.

4. Payment Terms

  • Payouts: Payments to Sellers, less applicable subscription and commission fees, will be processed on a 30 - 60 days basis.
  • Methods of Payment: Payouts will be made via BANK TRANSFER. Sellers are responsible for any fees related to payout transactions.

5. Non-Compliance

  • Subscription Fees: Non-payment of subscription fees may result in temporary suspension or permanent removal from the Platform.
  • Commission Fees: Commission fees are mandatory, and failure to agree to commission charges may result in account termination.

6. Amendment and Termination

  • Amendments: We reserve the right to modify this Agreement with at least [insert notice period] notice to Sellers.
  • Termination: Either party may terminate this Agreement with written notice. Outstanding fees and commissions will remain payable after termination.

7. Governing Law and Dispute Resolution

This Agreement will be governed by the laws of KSA.
